These Terms & Conditions (“Terms”) govern your access to and use of the SatsPlay platform (“Platform”), operated by SatsPay Financial Service Co., LLC, a company organized under the laws of Curaçao, with its principal place of business in Willemstad, Curaçao (“Company,” “we,” “us,” or “our”).

By accessing or using SatsPlay, you agree to be bound by these Terms.

1. ELIGIBILITY (STRICT 21+ REQUIREMENT)

You must be at least twenty-one (21) years of age to access or use the Platform.

By using SatsPlay, you represent and warrant that:

You are 21 years of age or older
You have the legal capacity to enter into this agreement
Online gaming and wagering are legal in your jurisdiction

We reserve the right to:

Request age verification at any time
Suspend or terminate accounts that fail verification
Void any activity conducted by underage users

2. PLATFORM OVERVIEW

SatsPlay is an online entertainment platform that may include:

Online Casino games
Sportsbook wagering
PokerSingularity (skill-based poker environment)
CALL-IT (real-world outcome-based wagering)
SatsPay Virtual VIP Lounge (interactive entertainment features)

All features are provided as-is and may be modified, restricted, or discontinued at any time.

3. ACCOUNT RESPONSIBILITY

You are responsible for:

Maintaining the confidentiality of your account
All activity conducted under your account
Ensuring all information provided is accurate

You agree not to:

Share accounts
Use false or misleading identity information
Access accounts belonging to others

4. PAYMENT STRUCTURE & FINALITY

All transactions on SatsPlay are:

Final and irreversible
Not subject to chargebacks
Not refundable except at the sole discretion of the Company

By using the Platform, you acknowledge:

All wagers are binding once placed
All outcomes are final once confirmed
There are no reversals, cancellations, or disputes based on user error

5. NON-CUSTODIAL PAYMENT MODEL

SatsPlay operates as a software and entertainment platform only.

The Company:

Does not custody user funds
Does not hold user balances
Does not act as a bank or financial institution

All transactions are:

User-initiated
Direct
Final upon confirmation

6. WINNINGS & PAYOUTS

Winnings are credited automatically based on confirmed outcomes
All payouts are final
The Company reserves the right to:
- Investigate suspicious activity
- Delay or deny payouts in cases of fraud or abuse

7. ACCEPTABLE USE

You agree not to:

Engage in fraud, collusion, or manipulation
Use bots, automation, or unauthorized tools
Attempt to exploit system vulnerabilities
Launder funds or engage in illegal activity
Harass, abuse, or exploit talent or other users

Violation may result in:

Immediate account suspension
Permanent termination
Forfeiture of access

8. POKERSINGULARITY RULES

All hands are considered final once completed
Any disputes regarding gameplay are resolved based on system logs
Collusion or coordinated play is strictly prohibited

9. SPORTSBOOK TERMS

All bets are final once placed
Odds are subject to change at any time prior to confirmation
Event outcomes are determined by official sources
Errors in odds or event listings may result in voided bets

10. CALL-IT TERMS

CALL-IT involves outcome-based wagers tied to real-world events.

By participating, you agree:

Outcomes are determined by verified confirmation methods
All results are final once verified
The Company has sole authority in confirming outcomes

11. VIP LOUNGE / INTERACTIVE CONTENT

The VIP Lounge includes live and interactive entertainment features.

Users agree:

All interactions must remain lawful and respectful
No recording, redistribution, or unauthorized use of content
All tips and gifts are final and non-refundable

The Company reserves the right to:

Remove content
Suspend access
Moderate or terminate sessions

12. RISK DISCLOSURE

You acknowledge:

Gaming and wagering involve financial risk
You may lose funds
There are no guarantees of winnings

You are solely responsible for:

Your decisions
Your wagers
Your financial outcomes

13. RESPONSIBLE PLAY

You agree to:

Play responsibly
Not use the Platform if experiencing gambling-related harm

The Company may:

Provide optional limits or controls
Restrict access at its discretion

14. INTELLECTUAL PROPERTY

All content, branding, and materials on SatsPlay are owned by the Company.

You may not:

Copy, reproduce, or distribute
Use branding without permission

15. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

The Company is not liable for:

Losses resulting from gameplay or wagering
System interruptions or downtime
Errors, delays, or technical failures

Use of the Platform is at your own risk.

16. INDEMNIFICATION

You agree to indemnify and hold harmless the Company from any claims arising from:

Your use of the Platform
Violation of these Terms
Illegal or unauthorized activity

17. TERMINATION

We may suspend or terminate access at any time for:

Violation of these Terms
Suspicious or illegal activity
Any reason at our discretion

18. MODIFICATIONS

We reserve the right to update these Terms at any time.

Continued use of the Platform constitutes acceptance of updated Terms.

19. ELITE250 & THEFOUNDERS PROGRAM TERMS

The Platform may offer limited-access packages, including but not limited to THEFOUNDERS and ELITE250 (collectively, the “Programs”). These Programs provide participants with enhanced access, benefits, and privileges subject to the terms outlined below.

19.1 LIMITED AVAILABILITY

THEFOUNDERS is limited to a maximum of 2,000 participants
ELITE250 is limited to a maximum of 250 participants
Availability is strictly limited and offered on a first-come, first-served basis
Once capacity is reached, no additional memberships will be issued

19.2 NATURE OF PROGRAMS

Programs are access-based privileges, not financial instruments, securities, or investment products
Participation does not confer:
- Ownership in the Company
- Equity, dividends, or profit-sharing
- Any expectation of financial return

19.3 BENEFITS & PRIVILEGES

Participants may receive access to certain benefits, which may include but are not limited to:

Priority or early access to Platform features and modules
Enhanced access to SatsPlay events, including launch events and future activations
Access to exclusive promotions, experiences, or content
Recognition status within the Platform
Invitations to private or limited-access experiences

Certain benefits may be offered on a recurring annual basis, including:

Event invitations or access opportunities
Promotional or experiential benefits tied to Platform activity
Exclusive content or feature access

All benefits are:

Subject to availability
Subject to change, modification, or discontinuation at any time
Non-transferable unless explicitly authorized by the Company

19.4 GOOD STANDING REQUIREMENT

To maintain Program access and benefits, participants must remain in good standing.

Good standing includes, but is not limited to:

Compliance with all Platform Terms & Conditions
Lawful use of the Platform
No involvement in fraud, abuse, or prohibited conduct
No harassment or misconduct toward other users or talent

Failure to remain in good standing may result in:

Suspension of Program privileges
Revocation of Program access
Permanent termination without refund

19.5 NON-TRANSFERABILITY

Program memberships are non-transferable
They may not be sold, assigned, or otherwise transferred without prior written consent from the Company

19.6 NO GUARANTEE OF ACCESS OR VALUE

The Company does not guarantee:
- Continuous availability of any specific benefit
- Access to any specific event, feature, or experience
- Ongoing or future value of participation

Participation is based on access and experience, not guaranteed outcomes.
